International Offerings

  • Advice on public offers in international markets in compliance with Indian exchange control regulations and other regulatory guidelines
  • Advice on documentation for American Depository Receipt (ADR) and Global Depository Receipt (GDR) issuances in adherence with relevant Indian law and compliance with the requirements of underwriters and overseas stock exchanges (in conjunction with foreign counsel)
  • Conducting legal due diligence in context of the disclosures to be made by the issuer in the registration statement section of the offering prospectus
  • Assisting with all overseas listing requirements by coordinating with foreign counsel and resolving conflicts, if any, between Indian company law and overseas legal requirements
  • Advising clients involved in raising capital using a combination of foreign currency convertible bonds (FCCB) and GDR instruments
Indian Offerings

  • Acting as counsel to the promoters or issuer in Initial Public Offerings (IPOs) on Indian exchanges
  • Acting as counsel to the promoters, issuer or subscribers in the context of a Non Convertible Debenture (NCD) Issue, Qualified Institutional Placements (QIPs), Preferential Allotments, or Institutional Placement Programs (IPPs)
  • Conducting due diligence on behalf of investors and/or lead managers and issuers
